Terms of Use

1. INTRODUCTION
 

1.1 Welcome to the website of Persatuan Pengeluar Wang Elektronik (PPWE) [Association of E-Money Issuer (AEMI)] ("AEMI", the "Association", "we", "us" or "our"). These Terms of Use ("Terms") govern your access to and use of AEMI's website and the webpages, information, publications, materials, features and other content made available through the website (collectively, the "Site").
 

1.2 The Site is intended primarily to:

  • provide information about AEMI and its activities;

  • communicate information relating to the e-money and digital payments industry;

  • publish industry updates, announcements, publications and educational materials;

  • provide information relating to AEMI meetings, events, programmes and initiatives;

  • support engagement with AEMI Members and other industry stakeholders;

  • support regulatory and governmental engagement;

  • facilitate industry consultations, surveys and information-gathering exercises;

  • support consumer awareness and understanding of e-money products and services; and

  • provide information reasonably connected with AEMI's objectives.
     

1.3 By accessing or using the Site, you agree to these Terms. If you do not agree with these Terms, you should discontinue your use of the Site.
 

2. RELATIONSHIP WITH AEMI'S CONSTITUTION
 

2.1 AEMI is governed by its registered Constitution and applicable Malaysian laws. These Terms govern use of the Site only. They do not replace, amend or override AEMI's Constitution.
 

2.2 Matters relating to, among other things:

  • eligibility for membership;

  • admission to membership;

  • membership renewal;

  • resignation or termination of membership;

  • membership fees, subscriptions or levies;

  • voting rights;

  • general meetings;

  • quorum requirements;

  • Committee composition;

  • election of office bearers;

  • Committee powers and decision-making;

  • duties of office bearers;

  • financial administration;

  • amendment of the Constitution; and

  • dissolution of the Association,

shall be governed by AEMI's Constitution and any valid resolutions, rules or procedures adopted under it.
 

2.3 Nothing on the Site shall, by itself:

  • constitute admission as an AEMI Member;

  • confer membership rights;

  • confer voting rights;

  • alter the rights or obligations of a Member;

  • waive any requirement under the Constitution; or

  • constitute an amendment to the Constitution.
     

2.4 If there is any inconsistency between these Terms or general information published on the Site and AEMI's Constitution in relation to AEMI's membership, governance, rights or obligations, the Constitution shall prevail.
 

3. PURPOSE OF THE SITE
 

3.1 The Site is operated primarily as an informational, communication and industry engagement platform. AEMI does not, through the Site, provide:

  • e-money accounts;

  • e-wallet services;

  • payment services;

  • banking services;

  • financial products;

  • customer account management; or

  • regulated e-money services offered by its Members.
     

3.2 AEMI is an industry association representing approved e-money issuers. The commercial e-money products and services offered by individual Members remain the responsibility of those Members.
 

4. INFORMATION ON THE SITE
 

4.1 Information published on the Site is provided for general informational, educational, association and industry communication purposes. Unless expressly stated otherwise, information on the Site does not constitute:

  • legal advice;

  • regulatory advice;

  • financial advice;

  • investment advice;

  • tax advice;

  • professional advice;

  • a regulatory approval;

  • a statement issued on behalf of Bank Negara Malaysia;

  • a statement issued on behalf of any governmental authority; or

  • a recommendation or endorsement of a particular product or service.
     

4.2 AEMI may publish or refer to information concerning:

  • laws;

  • regulations;

  • policy developments;

  • regulatory consultations;

  • standards;

  • guidelines;

  • industry practices; and

  • other matters relating to the e-money industry.
     

Such information may be summarised or simplified and should not be treated as a substitute for official legal or regulatory materials. Users should refer to the relevant official sources and obtain professional advice where appropriate.
 

4.3 AEMI endeavours to ensure that information published on the Site is reasonably accurate at the time of publication.  However, laws, regulations, policies, industry developments, membership information and other matters may change. AEMI does not guarantee that all Site information will at all times be complete, current or free from error.
 

5. AEMI POSITIONS AND MEMBER VIEWS
 

5.1 AEMI may publish:

  • official AEMI positions;

  • consultation responses;

  • industry submissions;

  • discussion papers;

  • reports;

  • recommendations;

  • summaries of Member feedback; or

  • other industry materials.
     

5.2 Where appropriate, AEMI may distinguish between:

  • an official AEMI position;

  • a consolidated industry position;

  • a majority Member position;

  • differing Member positions; and

  • an individual Member's view.
     

5.3 A view expressed by an individual Member, speaker, contributor, committee participant or other person does not necessarily represent AEMI's official position unless expressly stated otherwise.
 

5.4 Similarly, a position published by AEMI does not necessarily mean that every Member holds or supports that position.
 

6. SUBMISSION OF INFORMATION TO AEMI
 

6.1 The Site may from time to time allow Members, Member Representatives or other stakeholders to submit:

  • enquiries;

  • feedback;

  • comments;

  • survey responses;

  • consultation responses;

  • industry views;

  • regulatory positions;

  • Company Information;

  • event registrations; or

  • other information.
     

6.2 Unless AEMI expressly states that submission is mandatory, participation in surveys, consultations, questionnaires or requests for industry views will generally be voluntary.
 

6.3 Where appropriate, a Member may choose to:

  • decline to participate;

  • submit only part of the requested information;

  • provide aggregated information;

  • provide anonymised information;

  • provide ranges rather than precise figures; or

  • request that particular information not be attributed to it.
     

6.4 Users should provide only information reasonably relevant to the purpose for which it is requested. Unless specifically requested and appropriate, users should not provide:

  • customer account credentials;

  • passwords;

  • PINs;

  • authentication information;

  • individual customer payment credentials;

  • unnecessary individual customer transaction records;

  • unnecessary Personal Data; or

  • other information that is not required for the relevant purpose.
     

6.5 By submitting information to AEMI, you confirm that, to the best of your knowledge:

  • the information is lawfully provided;

  • you are authorised to provide it where authorisation is required;

  • the information is not intentionally false or misleading; and

  • its submission does not knowingly infringe the rights of another person.
     

7. USE OF SUBMITTED INFORMATION
 

7.1 Information submitted to AEMI may be used only for purposes reasonably connected with AEMI's legitimate objectives and activities, including:

  • membership administration;

  • Committee and working group activities;

  • regulatory consultations;

  • governmental and regulatory engagement;

  • industry research;

  • preparation of industry submissions;

  • development of industry positions;

  • consumer awareness initiatives;

  • fraud and scam prevention initiatives;

  • cybersecurity and operational resilience initiatives;

  • training and industry development;

  • event administration; and

  • other activities consistent with AEMI's objectives.
     

7.2 Where information is submitted for a specific consultation, survey or regulatory exercise, AEMI will endeavour not to use that information for a materially unrelated purpose unless:

  • the provider agrees;

  • the further use is reasonably compatible with the original purpose;

  • the information has been appropriately aggregated or anonymised; or

  • the further use is required or permitted by law.
     

8. REGULATORY AND GOVERNMENTAL REQUESTS
 

8.1 As part of its role as an industry association, AEMI may receive requests for information from:

  • Bank Negara Malaysia;

  • governmental ministries;

  • regulatory authorities;

  • law enforcement agencies;

  • statutory authorities; or

  • other competent public authorities.
     

8.2 Where lawful and appropriate, AEMI may provide information relevant to such requests.
 

8.3 Where reasonably practicable and legally permissible, AEMI will endeavour to:

  • understand the scope and purpose of the request;

  • limit disclosure to information reasonably relevant to that request;

  • avoid providing unnecessary Personal Data;

  • avoid unnecessary disclosure of confidential Company Information;

  • use aggregated, summarised or anonymised information where sufficient; and

  • inform or consult affected Members where appropriate.
     

8.4 Nothing in these Terms prevents AEMI from complying with a legally binding:

  • request;

  • direction;

  • requirement;

  • court order; or

  • other legal or regulatory obligation.
     

9. CONFIDENTIAL AND COMMERCIALLY SENSITIVE INFORMATION
 

9.1 AEMI recognises that information provided by Members may sometimes be:

  • confidential;

  • proprietary;

  • commercially sensitive;

  • security-sensitive; or

  • competitively sensitive.
     

9.2 Users should avoid providing such information unless it is reasonably necessary for the relevant AEMI activity.
 

9.3 Where such information is necessary, AEMI may apply reasonable safeguards including:

  • limiting the information requested;

  • requesting aggregated information;

  • requesting anonymised information;

  • limiting access to authorised persons;

  • restricting onward disclosure;

  • using professional or independent advisers; or

  • applying other appropriate confidentiality measures.
     

9.4 Nothing in these Terms requires any Member or other person to provide information where disclosure would breach:

  • applicable law;

  • regulatory requirements;

  • competition law;

  • contractual confidentiality obligations;

  • legal privilege; or

  • other lawful restrictions.
     

10. PRIVACY AND PERSONAL DATA
 

10.1 AEMI's collection, use, disclosure, retention and other processing of Personal Data in connection with the Site is governed by AEMI's Privacy Policy. The Privacy Policy should be read together with these Terms.


10.2 AEMI's Privacy Policy also explains AEMI's approach to:

  • Company Information;

  • Member views and positions;

  • regulatory information requests;

  • voluntary participation;

  • aggregation and anonymisation;

  • attribution of Member information; and

  • disclosure of information to third parties.
     

10.3 Nothing in these Terms authorises AEMI to process Personal Data inconsistently with its Privacy Policy or applicable law.
 

11. MEMBER INFORMATION AND MEMBER WEBSITES
 

11.1 The Site may identify organisations that are Members of AEMI or provide links to Member websites. Membership information is provided for general reference and may change from time to time.
 

11.2 The fact that an organisation is an AEMI Member does not mean that:

  • AEMI operates the Member's e-money products;

  • AEMI controls the Member's services;

  • AEMI guarantees the Member's products or services;

  • AEMI accepts responsibility for the Member's contractual obligations; or

  • AEMI handles the Member's customer data merely by reason of the Member's membership.
     

11.3 Any contractual relationship concerning an e-money or payment product is ordinarily between the relevant provider and its customer. Questions or complaints concerning a particular Member's product or service should ordinarily be directed to that Member or the appropriate authority.
 

12. NOTICES AND MEMBER COMMUNICATIONS
 

12.1 AEMI may use the Site to publish:

  • notices;

  • announcements;

  • meeting information;

  • consultation materials; or

  • other communications,

where permitted under AEMI's Constitution or applicable rules.
 

12.2 Where the Constitution requires a specific:

  • form of notice;

  • notice period;

  • method of delivery;

  • quorum;

  • voting process; or

  • other procedural requirement,

that constitutional requirement shall continue to apply.
 

12.3 Nothing in these Terms alters any requirement contained in AEMI's Constitution.
 

13. EVENTS AND PROGRAMMES
 

13.1 The Site may provide information about:

  • meetings;

  • conferences;

  • seminars;

  • webinars;

  • training programmes;

  • working groups;

  • industry initiatives; or

  • other AEMI activities.
     

13.2 Participation in a particular event may be subject to:

  • eligibility criteria;

  • registration requirements;

  • additional terms;

  • confidentiality requirements;

  • participation rules; or

  • fees.
     

Where additional terms are provided, those terms will apply in addition to these Terms.
 

13.3 AEMI may reasonably modify:

  • event dates;

  • venues;

  • speakers;

  • programmes;

  • formats; or

  • other arrangements.
     

14. INTELLECTUAL PROPERTY
 

14.1 Unless otherwise stated, the Site and its contents, including:

  • text;

  • reports;

  • publications;

  • graphics;

  • photographs;

  • presentations;

  • designs;

  • logos;

  • trademarks;

  • documents; and

  • other materials,

are owned by, licensed to or lawfully used by AEMI.
 

14.2 You may view, download or print publicly available Site materials for:

  • personal use;

  • internal business use;

  • educational use; or

  • informational use,

provided that:

  • the materials are not materially altered;

  • applicable copyright or proprietary notices are retained;

  • AEMI is appropriately acknowledged where relevant; and

  • the materials are not used in a misleading manner.
     

14.3 Unless permitted by law or authorised by AEMI, you must not:

  • commercially exploit substantial parts of the Site;

  • reproduce AEMI materials for commercial sale;

  • materially alter AEMI materials and present them as official materials;

  • use AEMI's name or logo in an unauthorised manner;

  • imply AEMI endorsement or sponsorship where none exists; or

  • frame or reproduce the Site in a manner that misleadingly suggests an association with another party.
     

14.4 Third-party trademarks, logos and materials remain the property of their respective owners.
 

15. AEMI NAME AND LOGO
 

15.1 AEMI's name, logo and branding must not be used without appropriate authority in a manner suggesting:

  • membership;

  • accreditation;

  • sponsorship;

  • endorsement;

  • regulatory approval; or

  • affiliation.
     

15.2 The appearance of a Member's name or logo on the Site does not necessarily mean that AEMI endorses any particular commercial product or service of that Member.
 

16. ACCEPTABLE USE

You must not use the Site:

  • for unlawful purposes;

  • fraudulently;

  • in a misleading manner;

  • to impersonate another person;

  • to falsely suggest AEMI endorsement;

  • to interfere with the Site's operation or security;

  • to gain unauthorised access to any system;

  • to introduce viruses or malicious code;

  • to scrape or collect information through unreasonable or unlawful automated means;

  • to misuse contact details published on the Site;

  • to infringe intellectual property rights;

  • to breach confidentiality obligations; or

  • in a manner reasonably likely to damage AEMI's lawful activities, systems or reputation.
     

17. POLITICAL AND OTHER PROHIBITED USE
 

17.1 The Site and AEMI's name, logo and resources must not be used in a manner that suggests AEMI supports or participates in political party activities unless expressly permitted by applicable law and authorised by AEMI.
 

17.2 Users must not use the Site or AEMI's materials:

  • for unlawful political campaigning;

  • to suggest endorsement of a political party or candidate;

  • for unlawful activities;

  • for unauthorised trade union activities on behalf of AEMI; or

  • for purposes inconsistent with AEMI's Constitution.
     

18. THIRD-PARTY LINKS
 

18.1 The Site may contain links to websites or resources operated by:

  • Members;

  • Bank Negara Malaysia;

  • governmental bodies;

  • regulators;

  • industry organisations;

  • event organisers;

  • service providers; or

  • other third parties.
     

18.2 Such links are provided for convenience and informational purposes. Unless expressly stated otherwise, inclusion of a link does not mean that AEMI:

  • controls the third-party website;

  • endorses all information on that website;

  • endorses the third party's products or services; or

  • accepts responsibility for the third party's acts or omissions.
     

18.3 Third-party websites are subject to their own terms, privacy policies and practices.
 

19. WEBSITE AVAILABILITY AND SECURITY
 

19.1 AEMI seeks to maintain the Site in a reasonably accessible and secure manner. However, AEMI does not guarantee that the Site will always be:

  • available;

  • uninterrupted;

  • error-free;

  • free from technical defects; or

  • free from harmful code or unauthorised interference.
     

19.2 AEMI may, where reasonably necessary:

  • maintain or update the Site;

  • modify its functionality;

  • correct errors;

  • remove or archive information;

  • temporarily suspend access;

  • restrict access for security reasons; or

  • discontinue any part of the Site.
     

20. DISCLAIMER
 

20.1 To the maximum extent permitted by applicable law, the Site and its contents are provided on an "as is" and "as available" basis.
 

20.2 AEMI does not represent or warrant that:

  • Site information is suitable for every user's particular circumstances;

  • Site information may be relied upon as legal or regulatory advice;

  • use of Site information will achieve a particular regulatory or commercial outcome;

  • third-party information is complete or accurate; or

  • Site information replaces official laws, regulatory materials or professional advice.
     

20.3 Nothing in these Terms excludes any obligation or liability that cannot lawfully be excluded.
 

21. LIMITATION OF LIABILITY
 

21.1 To the maximum extent permitted by applicable law, AEMI shall not be liable for indirect, incidental, consequential or special loss arising from:

  • reliance solely on general information published on the Site;

  • temporary inability to access the Site;

  • interruption or technical failure;

  • use of third-party websites;

  • inaccurate third-party information; or

  • unauthorised third-party interference with the Site.
     

21.2 Users remain responsible for independently assessing information obtained through the Site before making material:

  • legal;

  • regulatory;

  • financial;

  • operational; or

  • commercial decisions.
     

22. NO CONFIDENTIAL RELATIONSHIP BY WEBSITE USE ALONE
 

22.1 Merely accessing the Site or submitting a general enquiry does not, by itself, create:

  • a fiduciary relationship;

  • an advisory relationship;

  • a professional-client relationship;

  • an agency relationship; or

  • a confidential relationship with AEMI.
     

22.2 However, information submitted in connection with a specific AEMI consultation, committee, regulatory exercise or other activity may be subject to:

  • the Privacy Policy;

  • specific confidentiality arrangements;

  • stated submission terms;

  • applicable law; or

  • other safeguards notified by AEMI.
     

23. ACCESS RESTRICTION

AEMI may restrict or suspend access to the Site where reasonably necessary to:

  • protect Site security;

  • address misuse;

  • investigate suspected unlawful activity;

  • protect AEMI or its Members; or

  • comply with applicable law.
     

24. CHANGES TO THESE TERMS
 

24.1 AEMI may amend these Terms from time to time to reflect changes to:

  • the Site;

  • AEMI's activities;

  • applicable law;

  • regulatory requirements; or

  • AEMI's operational practices.
     

24.2 The updated Terms will be published on the Site with the revised "Last Updated" date. Continued use of the Site after the revised Terms are published constitutes acceptance of the revised Terms to the extent permitted by applicable law.
 

24.3 No amendment to these Terms constitutes an amendment to AEMI's Constitution. Any amendment to the Constitution remains subject to the procedures and approvals required under the Constitution and applicable law.
 

25. SEVERABILITY
 

If any provision of these Terms is held to be unlawful, invalid or unenforceable, that provision shall, to the extent necessary, be severed or modified without affecting the validity and enforceability of the remaining provisions.
 

26. NO WAIVER
 

A failure or delay by AEMI in exercising any right under these Terms does not constitute a waiver of that right.
 

27. GOVERNING LAW
 

27.1 These Terms shall be governed by and construed in accordance with the laws of Malaysia.
 

27.2 Subject to applicable law, disputes arising from use of the Site shall be subject to the jurisdiction of the courts of Malaysia.
 

27.3 Nothing in this section overrides any governance matter required to be dealt with under AEMI's Constitution or applicable legislation governing the Association.
